Paramount Skydance in a legal stalemate with Warner Bros.

According to CoinMeta, the transaction in which Paramount Skydance Corporation ( NASDAQ : PSKY ) acquired Warner Bros. Discovery ( NASDAQ : WBD ) for approximately $110 billion is currently frozen. Both parties have agreed not to close the transaction within five days after the trial verdict or before June 1, 2027. An alliance of 12 states, including California, and the Screen Writers Guild of America have filed a lawsuit to block the transaction on the grounds that it violates antitrust laws. The judge handling the case has expressed doubts about the legality of the transaction. If the transaction completely fails, Paramount would be required to pay a termination fee of $7 billion, in addition to paying a “time fee” of $650 million per quarter. Currently, both parties are debating the trial date; Paramount hopes it will begin in November 2026, while the states and the writers union prefer it to start in April 2027.
