SEC Guidelines Lift Nvidia $500 Billion AI Financing Risk Rules

According to CoinMeta, Nvidia is facilitating the allocation of $500 billion in third-party capital for the construction of AI data centers. Recently, guidance issued by the U.S. Securities and Exchange Commission (SEC) alleviated some key risk requirements regarding data center debt structures. Last month, SEC supported the conclusion of a law firm Latham Watkins, which argued that certain data center debts are not subject to the securitization rules that require sponsors to retain a portion of the risks. Although this guidance is merely an opinion for employees, lawyers say it will open the door for more data center financing, removing restrictions associated with a narrow class of asset-backed securities. Nvidia announced last week that it has reached partnerships with Apollo, BlackRock, Blackstone, Brookfield, Goldman Sachs, and KKR with the aim of establishing a capital pool to help AI laboratories, enterprises, and cloud service providers obtain computing hardware without having to rely on their own balance sheets.
