New York, September 29, 2026 / PRNewswire / -- Cohen & Steers REIT and Preferred and Income Fund, Inc. (New York Stock Exchange ticker: RNP) (hereinafter referred to as the "Fund") issues this press release to inform shareholders of the source of the distribution to be paid on September 30, 2026, as well as the cumulative distribution payments made to date in this fiscal year.
In December 2017, the fund implemented a management distribution policy in accordance with the exemption granted by the U.S. Securities and Exchange Commission (SEC). The purpose of this policy is to help realize the fund's long-term total return potential by making regular monthly distributions at a fixed rate per common share. This policy provides the fund with greater flexibility in achieving long-term capital gains throughout the year and allows these earnings to be regularly distributed to shareholders on a monthly basis. The fund's board of directors may modify, terminate, or suspend this management distribution policy at any time, which could have an adverse effect on the fund's stock price.
Monthly distributions from a fund may include long-term capital gains, short-term capital gains, net investment income, and/or capital returns for tax purposes. A capital return refers to the portion of a distribution paid by the fund that exceeds its net investment income and realized net capital gains; this excess amount comes from the fund's assets. Capital returns are not taxed; rather, they reduce the tax base for shareholders holding the fund shares. In addition, distributions generated from the fund's investments in real estate investment trusts (REIT) may be classified as capital gains and/or capital returns in the future, depending on the nature of the dividends reported to the fund by the REIT held by the fund after the end of the year. The amount of monthly distributions can vary due to various factors, including changes in the portfolio and market conditions.
During each monthly distribution, the relevant information will be published on cohenandsteers.com and notifications will be sent to shareholders via mail accordingly. However, since the final tax attributes of the fund distributions can only be determined after the end of the calendar year, this information may change by the end of the year. The final tax attributes of all fund distributions will be reflected in the 1099- DIV form, which will be sent out after the end of the calendar year.
The following table lists the currently allocated estimated amounts, as well as the cumulative allocated amounts paid to date this fiscal year from the sources indicated. All amounts are calculated per ordinary share.
Investors should not draw any conclusions regarding the investment performance of the fund based on the amount allocated this time or the terms of the fund's management distribution policy. The distribution amounts and sources reported in this notice are merely estimates and are likely to change in the future; they are not intended for tax purposes. The actual amounts and sources used for accounting and tax declarations will depend on the fund's investment performance during the remaining period of this fiscal year and may be adjusted due to changes in tax regulations. The distribution amounts and sources from the beginning of the year to date may also be further adjusted.
The fund will send you the 1099- DIV form applicable for that calendar year, which explains how to report these distributions for federal income tax purposes.
The cumulative total return of the fund from the beginning of the year to August 31, 2026, for the fiscal year 2026 is as follows. Shareholders should note that there is a corresponding relationship between the cumulative total return from the beginning of the year to date and the fund's cumulative distribution rate for the year 2026. In addition, the five-year average annualized total return of the fund as of August 31, 2026, is also presented below. Shareholders should note that there is a corresponding relationship between the five-year average annualized total return and the fund's current annualized distribution rate for the year 2026. The performance and distribution rate information disclosed in the table is based on the fund's net asset value per share ( NAV ). The calculation method for fund NAV is the total market value of all securities and other assets held by the fund minus the total liabilities, divided by the total number of outstanding shares. Although the performance indicated by NAV may reflect the fund's investment performance, it does not measure the individual investment value of shareholders in the fund. The value of shareholders' investments is determined by the market price of the fund, which in turn depends on the supply and demand for the fund's shares in the public market.
