Taoping Received a notification that the minimum buying price on NASDAQ did not meet the requirements

Tianjin, China, October 14, 2026 / PRNewswire / -- Taoping Inc. (Nasdaq ticker: TAOP, hereinafter referred to as the "Company") is a company that provides cloud-based smart city, Internet of Things, and intelligent infrastructure solutions. The Company announced today that on October 13, 2026, it received a written notice from Nasdaq Stock Market LLC (Nasdaq) (the "Notice") stating that the Company currently does not meet the minimum bid price requirement stipulated by Nasdaq Listing Rule 5550(a)(2). This rule requires that listed securities maintain a minimum bid price of at least $1.00 per share.

Nasdaq Listing Rule 5810(c)(3)(A) stipulates that if such a deficiency persists for 30 consecutive trading days, it is considered that the minimum purchase price requirement is not met. Based on the closing purchase prices of the company's common stock for the 30 consecutive trading days from August 31, 2026, to October 12, 2026, the company no longer meets the minimum purchase price requirement. The company is issuing this press release in accordance with Nasdaq Listing Rule 5810(b), which requires timely disclosure after receiving a notification letter.

In accordance with NASDAQ Listing Rule 5810(c)(3)(A), the company has a compliance period of 180 calendar days, or until April 12, 2027 (the “compliance period”), to restore compliance with NASDAQ’s minimum purchase price requirement. If at any time during the compliance period, the closing purchase price of the company’s common stock reaches $1.00 per share for at least 10 consecutive trading days, NASDAQ will issue a written confirmation of compliance to the company, and the matter will be concluded. However, if at any time during the compliance period, the closing purchase price of the company’s common stock remains at $0.10 per share or below for 10 consecutive trading days, NASDAQ will issue a delisting decision regarding the company’s common stock in accordance with NASDAQ Listing Rule 5810(c)(3)(A) ( iii ). If the company chooses to implement a reverse stock split, it must complete the split no later than 10 trading days prior to April 12, 2027, in order to restore compliance.

If the company fails to comply with the minimum purchase price requirement by April 12, 2027, it may be eligible for an additional 180 calendar days of grace period. To qualify for this grace period, the company must meet all the initial listing requirements of the NASDAQ Capital Market, including the public holding market value and any other requirements besides the purchase price requirement. Additionally, the company must notify NASDAQ in writing during the second compliance period of its intention to remedy the deficiencies by implementing a reverse stock split, if necessary. If the company does not qualify during the second compliance period or fails to comply within the second 180-day period, NASDAQ will notify the company of its decision to delist its common shares. At that time, the company may appeal against this delisting decision to an adjudication panel.

This notification will not immediately affect the listing status of the company's common shares, which will continue to be traded on NASDAQ under the code “TAOP” without interruption.

The company stated that it will monitor the closing purchase price of common shares and may consider taking available options under appropriate circumstances to restore compliance with NASDAQ Listing Rule 5550(a)(2) requirements for the minimum purchase price.
