The XRP treasury company supported by Ripple has submitted a new prospectus to the U.S. Securities and Exchange Commission, covering nearly 11.5 million shares. If all related warrants are exercised in cash, this company listed on NASDAQ could raise up to approximately $132.2 million.
Evernorth New SEC documents could release $132 million
Calculated at an exercise price of $11.50, if all options are exercised in cash, the total funds raised by Evernorth would be approximately $132.25 million. However, the actual amount raised depends on whether the holders choose to exercise their options and how those exercises occur.
These warrants can be traced back to the special purpose acquisition company (SPAC) that merged with Evernorth earlier this month.
On October 9th, this transaction established a public market vehicle focused on XRP on the basis of the previously announced merger of SPAC.

The operation of Evernorth is different from that of traditional XRP exchange-traded funds (ETFs).
The core of its strategy is to hold and actively manage a considerable XRP treasury, and it may obtain additional earnings through lending, providing liquidity, and other financial activities.
When the company entered the public market, it held approximately 473 million XRP, making it one of the largest holders of the publicly listed enterprise XRP.
Subsequently, the company listed Ripple, Coinbase, Kraken, and BitGo as its planned institutional-level XRP strategic partners.
However, this new document does not specify that the proceeds from the exercise of the warrants must be used to purchase XRP.
XRP Investors face new treasury financing issues
As Coinpaper previously explained, the company redesigned its equity terms in order to better align the distribution of ownership with the market value of XRP before going public.
This distinction is particularly important after the recent decline in the market value of XRP, as it has increased the market's scrutiny of the company's financial valuation.
