Meta Platforms Announces the Creation of New Non-Voting Shares
2026-10-23 00:23:03
According to CoinMeta, Meta Platforms ($META) will create a new class of non-voting shares to raise funds and allow CEO Mark Zuckerberg to maintain voting control. The Meta board of directors announced that each shareholder holding one share of Class A and Class B shares will receive one share of Class C shares, with the reorganization taking effect on January 19, 2027. Class C shares do not carry voting rights, and the changes have been approved by entities controlled by Zuckerberg and Priscilla Chan; shareholders will not be able to vote on this matter. Meta states that the new shares can be used to raise funds, compensate employees, and fund acquisitions without diluting the existing voting control. It is expected that Class C shares will be sold periodically. Nicholas Mugali, CEO of World Trade Securities, said that this structure may indicate “more capital expenditures are ahead,” and Meta predicts that capital expenditures in 2026 will range between $135 billion and $145 billion. Meta reported revenue of $64.6 billion in the third quarter, exceeding the expected $63.37 billion, with an adjusted earnings per share of $7.40, which was also higher than the expected $5.74. The revenue guidance for the fourth quarter is $73 billion to $76 billion, which is in line with or exceeds Wall Street's expectations.
