MTCM Securities SA announces the launch of Talea DRN, a type of Luxembourg securitized note that can be issued in two forms from the same audited custodian: traditional ISIN securities and digital tokens. The company states that investors hold the same note, the same collateral, and the same rights, merely in different forms.
The company stated that these two forms represent the same instrument, not synthetic replicas or separate tools. MTCM is not about tokenizing an existing security; rather, it presents the instrument itself in the form of tokens, which are fully interchangeable with ISIN. Investors can switch between the forms without altering the face value or legal rights of the instrument, and they can subscribe using fiat currency, cryptocurrencies, or stablecoins.
For organizers, MTCM indicates that in the past, one had to choose between traditional issuance and tokenized issuance. Now, with the Talea DRN structure, it is possible to reach both bank and institutional investors through Clearstream / Euroclear, as well as international investors who are native to the digital world through tokens.
The name "Talea" originates from Latin and means stick or shaving. The company states that for centuries, debts were recorded on a wooden stick and split in two, one half for the creditor and the other for the debtor. Talea DRN continues this concept: one note, two forms, one right.
"Investors should not have to choose between the systems they trust and the technology they desire," said Pedro Herranz, managing partner and CEO of MTCM. "Talea DRN allows them to hold the same instrument in two forms: traditional settlement and custody, or the speed and reach that digitalization brings. For arrangers, this means a broader base of investors."
Bank Frick, the person in charge of capital market solutions, stated: "We value our cooperation with MTCM. By combining their expertise in securitization with our experience in capital markets and digital assets, we support issuers that operate across both traditional and digital infrastructures."
The company stated that each sub-fund adopts an isolated structure and bankruptcy isolation, and undergoes independent audits in accordance with Luxembourg's securitization laws. This provides arrangers with a wider range of distribution channels and allows investors to access the relevant products from anywhere.
MTCM indicates that the company is an independent, self-managed securitization platform based in Luxembourg, serving capital of over 2.5 billion euros. The company's slogan is "Make any asset bankable."
Bank Frick is a regulated bank in Liechtenstein that provides banking and capital market services to financial intermediaries, asset managers, and issuers. Its services include payment agency, digital asset custody and trading, as well as services for issuers of ETP, actively managed certificates (AMC), and private market certificates.
