New York, October 19, 2026 ( GLOBE NEWSWIRE ) – Valor Energy Inc (Nasdaq ticker: VAI ) (hereinafter referred to as “Valor Energy” or “the Company”) announced today that it has reached an agreement to acquire all issued equity of a company that operates a 18MW computing center in Yantstown, Ohio (hereinafter referred to as the “Yantstown Project”). This acquisition is still subject to due diligence and other closing conditions mentioned below, and there is no guarantee that the transaction will be completed according to the stated terms, or at all.
The Youngstown project is located at 1911 Youngstown Road, Mahoning County, Ohio Logan Avenue, covering an area of approximately 30,888 square feet. The site, which is already connected to the existing 23kV utility grid, has an apparent power capacity of about 18 megavolt-amperes ( MVA ). Valor Energy believes that this capacity has been approved and power has been connected. This figure represents the apparent power capacity at the site level and does not necessarily equate to the actual load that can be utilized by the data center operations ( IT ). The construction of the existing computing center has been completed; however, the company plans to transform this site into a AI data center, which will require additional design, construction, equipment, and licensing work.
In the United States, obtaining sites that are already connected to electricity is an important factor in the development of AI data centers, and such sites with large-scale, readily available power are often difficult to come by. Valor Energy believes that acquiring an existing facility rather than undeveloped land may help to shorten the time required to deploy AI computing power. However, there is still significant uncertainty regarding the timeline for such deployments, including the completion of acquisitions, subsequent construction and licensing, as well as the availability of financing. After the transaction is completed, the company plans to advance the development of the Yonkers project into a AI data center that will serve AI and high-performance computing workloads.
The transaction structure involves the acquisition of 100% equity in the entity holding the Yantai project, with a total cost of $3.6 million, which can be adjusted according to the terms of the agreement. The target company's existing premises, power supply arrangements, and related contracts are expected to continue to be maintained by the same entity after the delivery. The delivery is subject to a due diligence period of 30 working days from the effective date of the agreement, as well as several other conditions, including third-party and regulatory approvals; if possible, it is expected to be completed no later than the 90th working day after the effective date. Valor Energy may unilaterally terminate the agreement under certain circumstances during the due diligence period, including when it determines that the target company has provided false information; in such cases, its good faith deposit will be refunded. Valor Energy may complete the acquisition directly or through a designated subsidiary.
Valor Energy Strategic Advisor Dave Nichols stated: "This agreement is an important step in the Valor Energy AI data center strategy. The Yantstown site has a capacity of 18 megavolts amperes, which we believe has been approved and is already connected to power, a resource that can be quite difficult to obtain in this industry. We believe that this will, to some extent, shorten the time required to advance the deployment of AI computing power at this site, but the prerequisite remains the completion of the acquisition and further development work."
