Fullerton, California, November 3rd / PRNewswire / -- Akemona, which provides capital market infrastructure for tokenized securities, and Inc announced today that its wholly-owned subsidiaries Akemona TA Services (operating under the name of OnchainTA) and LLC have reached a partnership with Transfer Online and Inc (TOL). OnchainTA is a digital transfer agent specializing in tokenized securities and registered with the U.S. Securities and Exchange Commission (SEC), while TOL is a transfer agent that offers a full range of services and is also registered with SEC. According to the agreement signed by both parties, OnchainTA will utilize Akemona's tokenization platform to provide digital transfer agency services to TOL, helping TOL expand its tokenized securities services.

Since 1999, TOL has been providing transfer agency services for both private and listed companies, combining experienced human support, a technology-driven shareholder management platform, compliance-focused operations, and real-time reporting capabilities.

The cooperation between the two parties aims to enable TOL to extend its transfer agency services for issuers to the field of tokenized securities. TOL will still remain the registered transfer agent and serve as the main contact party for the participating issuer; OnchainTA will provide allocated tokenized and digital securities services through a workflow approved by TOL.

Transfer Online Operations Director Bryan Cochran stated: " Transfer Online has been continuously investing in its own technology, and this commitment has kept us at the forefront of the transfer agency industry. Regarding tokenization, we have chosen to collaborate with verified experts in this field to complement the platform we have built internally. OnchainTA's digital securities capabilities enable us to provide issuers with the next step in the capital market, and TOL remains their registered transfer agent as well as a team they have already trusted."

The digital transfer agency service of OnchainTA may include token establishment, digital securities record preservation, transfer, and support for corporate actions, as well as reconciliation reports. The scope of services for each issuer or each issuance will be jointly determined by both parties.

Cochran added, "We haven't reinvented something that experts have already done very well; instead, we've partnered with a leading tokenization firm and integrated their capabilities into our existing operations. Each collaboration follows a workflow defined by TOL, which ensures comprehensive oversight and real-time visibility. Our team will support issuers throughout the entire process, from token creation to transfer, corporate actions, and reconciliation. We plan to start providing tokenization services to Transfer Online customers at the beginning of next year."

This protocol reflects a model designed for mature transfer agents, which wish to seamlessly add tokenized securities capabilities to their existing operations. The services will be delivered through a workflow approved by TOL and operational procedures agreed upon by both parties.

Akemona CEO Alex de Lorraine stated: " Transfer Online possesses decades of experience in transfer agency services, a robust issuer service model, and a pragmatic approach to technology investment. Winning the bid for TOL and concluding a cooperation agreement is an important validation of our approach. OnchainTA provides a way for established transfer agencies to directly add digital securities capabilities within their existing operational and compliance frameworks."

As OnchainTA is set to launch OnchainTA Release 2 in the near future, the cooperation between the two parties is also progressing. This version is built upon the tokenization infrastructure of Akemona and will expand the self-service capabilities within the work processes of Issuer Hub, Investor Portal, Admin Console and related tokenization efforts. Employees of TOL will receive platform training and support in order to oversee each collaboration and provide the necessary records, reports, transaction information, and exception data for the participating issuers.

OnchainTA Release 2 will include a peer-to-peer Direct Transfer functionality, which is used for the compliant bilateral transfer of tokenized securities between eligible investors, provided that the investor qualifications, identity verification, applicable transfer restrictions, and transfer agent control requirements are met. It will also include Cap Table Tokenization ( CTT ), which allows for the conversion of verified issuer equity structure positions into managed digital securities through a controlled process; as well as the Digital Cap Table ( DCT ) functionality, which is designed to record, reconcile, and display digital security holding information within complex ownership structures.

Akemona TA Services, LLC (operating under the name of OnchainTA) has been providing services as a registered digital transfer agent for tokenized securities since 2021. OnchainTA combines the transfer agency functions with the tokenization technology of Akemona to support the management of digital securities throughout their lifecycle.

Akemona Founder and Chief Product Officer Ravi Srivastava stated: “OnchainTA Release brings together the capabilities required by issuers, transfer agents, and investors when digital securities are put into practical use. Peer-to-peer Direct Transfer, Cap Table Tokenization, and Digital Cap Table are designed to be interconnected components within the same operational environment. Our collaboration with Transfer Online provides a solid framework for delivering these capabilities through an experienced, full-service transfer agent.”

Both parties expect to begin implementation and integration after completing the applicable cooperation documents. The commercial terms have not been disclosed.
