FORT LAUDERDALE, Fla. On November 4, 2026 / PRNewswire / -- Z Squared Inc. (Nasdaq ticker: ZSQR) ("Z Squared" or "the Company") announced today that the Board of Directors has elected the Company's Chief Technology Officer, Jeffery Harris, to serve as a director, effective November 3, 2026. The Board's decision is based on nominations and recommendations from the Corporate Governance Committee. Mr. Harris will fill the vacancy left by a director who resigned in May 2026 and will continue to serve as Chief Technology Officer.
Currently, the board of directors consists of 5 members, 3 of whom are independent directors in accordance with NASDAQ listing requirements. Mr. Harris will not join any of the board committees, and as an employee of the company, he will not receive any additional remuneration for his role as a director.
The strategy of Z Squared is to acquire existing power stations that are already connected to the grid and transform them into computing capacity suitable for AI. The company invests capital in the transformation of each station one by one, provided that a contract has been signed and the conditions for operation are met. Whether a particular station is worth acquiring and how it should be constructed depend mainly on engineering factors: how much electricity it can provide, how well it can dissipate heat under high-density conditions, what the transformation costs are, and how long it will take to put it into use. As the company advances towards its first-phase goal of achieving 100 megawatts of AI ready capacity at multiple sites in the United States, including the Chief Technology Officer in the board of directors also means that technical judgment will directly participate in the board's supervision of site selection and capital deployment.
"Every decision made by the board of directors regarding where to go next is, in essence, a land-related decision that relies on power supply: which location to choose, how much power is available there, how to connect to the power grid, and what the cost of renovation will be," said Z Squared CEO David Halabu. "My entire career at Jeff has revolved around these issues. Having him sit at the board table means that our capital decisions will incorporate this kind of judgment."
"Electricity, heat dissipation, and density are the constraints that define the infrastructure for AI," said Mr. Harris. "My job is to ensure that every site we consider and every dollar we invest is measured against these criteria. We don't build based on speculation. We design according to what our customers truly need, and we only invest in renovation capital after signing a contract, not based on predictions. In this market, the biggest issue is how these construction projects can obtain financial support, and this discipline is very important. I am very grateful to the board of directors for giving me this opportunity to help the company adhere to this principle."
