Evernorth is one step closer to becoming a publicly listed XRP treasury company. The company disclosed that the U.S. Securities and Exchange Commission has announced that the S-4 registration statement related to its merger transaction is effective, which means that the disclosure process required for shareholder voting has been completed, and the listing process has entered the next stage.
It should be noted that this progress does not imply that SEC endorses Evernorth, XRP, or the transaction itself. The main significance of this effectiveness is that the regulatory authorities have completed the review of the disclosed documents, and the revised transaction documents have been made public through the SEC file system.
Plan to build a public market XRP position holding platform
The purpose of Evernorth is not to serve as a passive cryptocurrency holding tool. According to the arrangements previously disclosed by the company, its goal is to operate a proactively managed digital asset treasury, rather than simply holding XRP to track the performance of the coin prices.
The company plans to allocate its funds in multiple directions, including providing liquidity, decentralized finance, and infrastructure related to XRP. This structure means that what investors will see in the future will not be a traditional single cryptocurrency carrier, but rather an encrypted asset platform with operational and configuration attributes.
Institutions that support Evernorth also include Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken, and GSR. The company previously proposed to use XRPN, a proposed listing entity, to provide regulated XRP exposure to the public market.

The launch scale is aimed at 473 million XRP.
The company previously stated that its goal upon launch was to hold at least 473 million XRP, which includes the tokens expected to be injected after the transaction is completed. If this scale is achieved, Evernorth will join the ranks of companies with larger holdings in the XRP sector.
From public information, this model is similar to the treasury strategies established by some listed companies around Bitcoin, but the underlying assets have been replaced with XRP, and more proactive arrangements for the utilization of funds have been added. For the market, the key points of interest are not only the scale of holdings but also whether the company can convert these assets into sustained financial and operational performance.
XRP Price decline brings valuation pressure
However, as Evernorth advanced towards its listing, the price performance of XRP was not strong. Reports cited disclosed information stating that the company spent approximately $947 million by the end of October to buy XRP; by February of the following year, the book value of this portion of the holdings had shrunk by about $446 million compared to the purchase cost.
As of August 28, the trading price of XRP was around $1.37 to $1.38, which is a significant decline from its peak of nearly $3.65 in July 2025. The weakening price of the underlying asset also makes it more difficult for the market to assign a higher valuation to these treasury companies.
The next more definitive timeline is the shareholder vote on September 30th. With the completion of the SEC disclosure process, there is now a clearer schedule for the listing arrangements of Evernorth; if the transaction is ultimately completed, the market pricing of XRPN will still largely depend on the subsequent performance of XRP.
