Reports indicate that Starman Optical was registered and established in Delaware on August 31. Its related entity, Starman New Photonics, was founded in 2025 and is currently building manufacturing facilities in New Jersey. At this stage, Starman Optical has relatively few public business records available for reference.

Transactions emphasize American manufacturing and defense-oriented directions.

In their statement, both parties linked advanced optics, imaging, AI, and national security. The CEO of Starman Holdings, Charles Tebele, stated that the transaction will combine GoPro's optical technology and intellectual property with Starman's transceiver capabilities and the American domestic manufacturing platform, aiming to drive the return of key hardware production to the United States.

GoPro also stated that after the merger, the company aims to expand in consumer, commercial, and defense markets, and position itself as a leading provider of imaging and optical solutions in the United States. The company also mentioned that these areas will cover cameras, optics, as well as AI infrastructure related to national security fields.

GoPro Under long-term operational pressure

GoPro went public in 2014, when the annual sales volume of action cameras reached several million units. Over the following decade, the company made multiple adjustments to its business direction, but growth failed to return to early levels, and it underwent several rounds of layoffs. This transaction signifies that this established hardware company is attempting to restructure its capital through mergers and acquisitions and to find new areas of growth beyond consumer electronics.
