Guangzhou, China, October 19, 2026 /PRNewswire/ – POMDOCTOR LIMITED (hereinafter referred to as “Pomdoctor” or “the Company”) ( NASDAQ : POM ) is a digital healthcare company dedicated to advancing artificial intelligence ( AI ) enabled healthcare solutions. The Company announced today that it has initiated the termination of its American Depository Receipts program (“ADR Program”), including the termination of the revised related deposit agreements, and will list the Company’s Class A common shares directly on the NASDAQ Stock Market Limited Liability Company (“NASDAQ”).
The company stated that the aforementioned termination was previously approved by the Pomdoctor Board of Directors on September 3, 2026, and was also approved by the company's shareholders in a non-binding consultative manner at the special general meeting of shareholders held on September 30, 2026.
The ADR plan proposed to be terminated this time was established in accordance with the 'Depository Agreement' dated October 9, 2025, as amended. This agreement was jointly signed by the company, Citibank ( Citibank , N.A , namely the 'Depositary'), as well as the holders and beneficial owners of the American depositary receipts ( ADS ) issued thereunder.
ADR and the Depositary Agreement are expected to terminate before the opening of trading on October 21, 2026. At that time, in accordance with the Depositary Agreement, the company's ADS will be compulsorily cancelled and exchanged for Class A ordinary shares allocated to the holders of ADS ("compulsory exchange").
The company stated that, with the termination of the ADR plan taking effect, the company will implement a share consolidation for Class A common shares and Class B common shares. Accordingly, every ten (10) shares of each category of common shares will be consolidated into one (1) share of the same category of common shares ("share consolidation"). Due to this share consolidation and mandatory exchange, each holder of ten (10) ADS shares will receive three (3) shares of the consolidated Class A common shares.
Related to the termination of the ADR plan and share consolidation, the company plans to list its Class A common stocks on NASDAQ to replace ADS. The company expects that its Class A common stocks will begin trading on NASDAQ on October 21, 2026, with the trading code remaining “POM”, and the new CUSIP number will be G7166T112.
The company has designated TranShare Corporation as its transfer agent for Class A common shares in the United States.
